We are Strategist Mind ("Company," "we," "us," "our").

We operate the website http://www.StrategistMind.com (the "Site"), as well as any other related products and services that refer or link to these legal terms (the "Legal Terms") (collectively, the "Services").

These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and StrategistMind, concerning your access to and use of the Services. You agree that by accessing the Services, you have read, understood, and agreed to be bound by all of these Legal Terms. IF YOU DO NOT AGREE WITH ALL OF THESE LEGAL TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

Supplemental terms and conditions or documents that may be posted on the Services from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Legal Terms from time to time. We will alert you about any changes by updating the "Last updated" date of these Legal Terms, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Legal Terms to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Legal Terms by your continued use of the Services after the date such revised Legal Terms are posted.

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

1. OUR SERVICES

StrategistMind provides strategy diagnostics, advisory services, executive education programs, and publications focused on the proprietary 7C Strategy System and related intellectual property. These services may include online assessments, benchmarking reports, workshops, advisory sessions, educational content, and access to digital resources.

The Services are designed for business leaders, strategists, consultants, and organizations seeking to improve their strategic capabilities. They are not tailored to comply with industry-specific regulations (e.g., HIPAA, FISMA, GLBA), and you may not use the Services if such regulations apply to your organization.

2. INTELLECTUAL PROPERTY RIGHTS

We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, resources, methodologies, educational materials, proprietary frameworks (including the 7C Strategy System), articles, videos, documents, graphics, and other materials provided by StrategistMind in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks").

Our Content and Marks are protected by copyright and trademark laws (and various other intellectual property rights and unfair competition laws) and treaties in the United States and around the world.

The Content and Marks are provided in or through the Services "AS IS" for your personal, non-commercial use or internal business purpose only.

Your use of our Services
Subject to your compliance with these Legal Terms, including the "PROHIBITED ACTIVITIES" section below, we grant you a non-exclusive, non-transferable, revocable license to:

access the Services; and
download or print a copy of any portion of the Content to which you have properly gained access, solely for your personal, non-commercial use or internal business purpose.

Except as set out in this section or elsewhere in our Legal Terms, no part of the Services and no Content or Marks may be copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without our express prior written permission.

If we grant permission to post, reproduce, or display any part of our Services or Content, you must identify us as the owners or licensors and include copyright or proprietary notices.

Any breach of these Intellectual Property Rights will constitute a material breach of these Legal Terms and your right to use our Services will terminate immediately.

Your submissions
By directly sending us any question, comment, suggestion, idea, feedback, or other information about the Services ("Submissions"), you assign to us all intellectual property rights in such Submissions. You agree that we shall own this Submission and be entitled to its unrestricted use and dissemination for any lawful purpose, without acknowledgment or compensation.

You are responsible for what you post or upload. By sending us Submissions you:

confirm compliance with our "PROHIBITED ACTIVITIES";
waive moral rights in such Submissions;
warrant Submissions are original or you have the necessary rights; and
warrant Submissions are not confidential.

You are solely responsible for your Submissions and agree to reimburse us for any losses we may suffer due to your breach of this section, infringement of third-party rights, or violation of law.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

you have the legal capacity and agree to comply with these Legal Terms;
you are not a minor in your jurisdiction;
you will not access the Services through automated or non-human means;
you will not use the Services for illegal or unauthorized purposes; and
your use of the Services will not violate any law or regulation.

If you provide untrue, inaccurate, not current, or incomplete information, we may suspend or terminate your account and refuse current or future use of the Services.

4. SERVICES AND DIGITAL PRODUCTS

Our offerings may include:

Digital tools and diagnostics (assessments, scorecards, benchmarking reports);
Advisory and consulting services (virtual or in-person);
Executive education programs (courses, workshops, masterclasses);
Publications and educational materials (books, toolkits, frameworks, articles, resources).

Availability may vary, and we may update or discontinue any offering at any time. Prices for all services and digital products are subject to change.

5. PURCHASES AND PAYMENT

You agree to provide current, complete, and accurate payment and account details for all purchases. Fees must be paid in the currency specified at checkout.

You agree to pay all charges at the prices in effect at the time of purchase, including taxes. For services delivered to organizations, invoicing and payment terms may be set out in separate engagement agreements.

We reserve the right to refuse, limit, or cancel any purchase if misuse or fraudulent activity is suspected.

6. REFUNDS POLICY

Digital diagnostics, downloads, and toolkits: Non-refundable.
Advisory services and executive education programs: Refunds are not offered once services are delivered. Rescheduling or substitution may be requested (subject to availability and our discretion).
Books and publications: Refunds are governed by the retailer or distributor’s policy (e.g., Amazon, Routledge). StrategistMind does not process refunds for third-party book sales.

7. SOFTWARE

We may include software for use in connection with our Services. If such software is accompanied by an end-user license agreement (EULA), the EULA governs. If not, you are granted a non-exclusive, revocable, personal, and non-transferable license to use the software solely in connection with the Services.

The software and related documentation are provided "AS IS," without warranties. You may not reproduce, redistribute, or reverse-engineer except as permitted by applicable law or these Legal Terms.

8. PROHIBITED ACTIVITIES

You may not access or use the Services for any purpose other than those we make available. Prohibited activities include, but are not limited to:

unauthorized data collection or scraping;
misrepresentation or fraud;
circumvention of security features;
harassment, abuse, or harm to others;
uploading viruses or malicious code;
reverse engineering software;
creating competing services;
using automated systems (robots, scrapers, bots) without authorization;
unauthorized commercial use.

9. USER GENERATED CONTRIBUTIONS

The Services do not offer users the ability to publicly post or submit content.

10. CONTRIBUTION LICENSE

By submitting feedback or suggestions, you grant us the right to use and share such feedback without compensation.

11. THIRD-PARTY WEBSITES AND CONTENT

The Services may contain links to third-party websites and content. We do not monitor or control such third-party resources and are not responsible for them. Accessing such resources is at your own risk, and you should review their terms and privacy policies.

12. SERVICES MANAGEMENT

We reserve the right, but not the obligation, to:

monitor Services for violations;
take legal action against violators;
restrict access or remove content;
disable excessive or burdensome content;
manage Services to protect our rights and ensure functionality.

13. PRIVACY POLICY

We care about data privacy and security. Please review our Privacy Policy: http://www.strategistmind.com/privacy-policy. By using the Services, you agree to be bound by it.

Diagnostic Data: Responses submitted via diagnostics, assessments, or surveys may be aggregated and anonymized for research, benchmarking, or service improvement. No personally identifiable data will be published without your consent.

The Services are hosted in the United States. By using them from other regions, you consent to your data being transferred to and processed in the United States.

14. TERM AND TERMINATION

These Legal Terms remain in effect while you use the Services. We may terminate or suspend your access at any time, without notice, for violation of these terms or applicable law. We may also block IP addresses.

If terminated, you are prohibited from registering again under the same or false details. We reserve the right to pursue legal remedies.

15. MODIFICATIONS AND INTERRUPTIONS

We may change, modify, or discontinue the Services at any time without notice. We are not liable for downtime, errors, or interruptions.

16. GOVERNING LAW

These Legal Terms are governed by the laws of the United Arab Emirates. Both parties consent to the exclusive jurisdiction of the courts of the United Arab Emirates.

17. DISPUTE RESOLUTION

Disputes will first be subject to informal negotiations for 30 days. If unresolved, disputes will be referred to binding arbitration in Dubai, UAE, under the rules of the International Commercial Arbitration Court of the European Arbitration Chamber. Proceedings will be in English. Exceptions apply for intellectual property disputes and injunctive relief.

18. CORRECTIONS

There may be information on the Services containing errors or inaccuracies. We reserve the right to correct such information without notice.

19. DISCLAIMER

The Services are provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties, express or implied, including merchantability, fitness for a purpose, and non-infringement. We are not liable for errors, interruptions, viruses, or third-party actions.

20. LIMITATIONS OF LIABILITY

We are not liable for direct, indirect, incidental, or consequential damages. Our liability will never exceed the amount paid by you in the six months prior to a claim, where permitted by law.

21. INDEMNIFICATION

You agree to indemnify and hold StrategistMind harmless from claims or damages arising from your use of the Services, your breach of these terms, or your violation of third-party rights.

22. USER DATA

We maintain certain data you provide to manage the Services. While backups are made, you are responsible for retaining your own copies.

We may use anonymized, aggregated data for research, insights, or publications, but never in a way that identifies you or your organization without consent.

23. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

By using the Services, you consent to electronic communications and transactions. Electronic contracts, orders, and records are legally binding.

24. CALIFORNIA USERS AND RESIDENTS

If you are a California resident and a complaint is not resolved, you may contact the Consumer Affairs Division of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by phone at (800) 952-5210.

25. MISCELLANEOUS

These Legal Terms constitute the entire agreement between you and StrategistMind. If any provision is unlawful or unenforceable, the remainder remains valid. We may assign our rights at any time. No agency or partnership is created by these Terms.
